1) Scope of application
1.1 These General Terms and Conditions (hereinafter "GTC") of 19 Zoll-Tec GmbH (hereinafter "Seller") apply to all contracts concluded by a consumer or entrepreneur (hereinafter "Customer") with the Seller with regard to the goods and/or services presented by the Seller in his online shop. Hereby the inclusion of own conditions of the customer is contradicted, unless otherwise agreed.
1.2 These GTC apply accordingly for the purchase of vouchers, unless otherwise expressly agreed.
1.3 For the purposes of these General Terms and Conditions, a consumer is any natural person who concludes a legal transaction for purposes which can predominantly neither be attributed to his commercial nor his independent professional activity. An entrepreneur within the meaning of these General Terms and Conditions is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of his commercial or self-employed professional activity.
2) Conclusion of contract
2.1 The product descriptions contained in the Seller's online shop do not constitute binding offers on the part of the Seller, but serve to provide a binding offer by the customer.
2.2 The customer can submit the offer via the online order form integrated into the seller's online shop. After placing the selected goods and/or services in the virtual shopping basket and having gone through the electronic ordering process, the customer submits a legally binding contract offer with regard to the goods and/or services contained in the shopping basket by clicking the button that concludes the ordering process. Furthermore, the customer can also submit the offer to the seller by post, e-mail, fax or telephone.
2.3 The Seller may accept the Customer's offer within five days,
by sending the customer a written order confirmation or an order confirmation in text form (fax or e-mail), whereby the receipt of the order confirmation by the customer is decisive in this respect, or
by delivering the ordered goods to the customer, whereby the receipt of the goods at the customer is decisive in this respect, or
by requesting payment from the customer after placing the order.
If several of the aforementioned alternatives exist, the contract is concluded at the point in time at which one of the aforementioned alternatives occurs first. If the seller does not accept the customer's offer within the aforementioned period, this shall be deemed to be a rejection of the offer with the consequence that the customer is no longer bound by his declaration of intent.
2.4 The period for acceptance of the offer begins on the day after dispatch of the offer by the customer and ends on the expiry of the fifth day following dispatch of the offer.
2.5 When submitting an offer via the Seller's online order form, the text of the contract is stored by the Seller and sent to the customer in text form (e.g. e-mail, fax or letter) together with these General Terms and Conditions after his order has been sent. In addition, the contract text is archived on the website of the seller and can be called up free of charge by the customer via his password-protected customer account stating the corresponding login data, provided that the customer has created a customer account in the seller's online shop before sending his order.
2.6 Before placing a binding order via the online order form of the seller, the customer can continuously correct his entries using the usual keyboard and mouse functions. In addition, all entries are displayed again in a confirmation window before the binding submission of the order and can also be corrected there using the usual keyboard and mouse functions.
2.7 Only the German language is available for the conclusion of the contract.
2.8 Orders are usually processed and contacted by e-mail and automated order processing. The customer must ensure that the e-mail address provided by him for order processing is correct, so that the e-mails sent by the seller can be received at this address. In particular, when using SPAM filters, the customer must ensure that all e-mails sent by the seller or third parties commissioned by the seller to process the order can be delivered.
3) Right of revocation
3.1 Consumers are generally entitled to a right of revocation.
3.2 Further information on the right of revocation can be found in the seller's revocation instructions.
3.3 The right of withdrawal does not apply to consumers who at the time of conclusion of the contract do not belong to any member state of the European Union and whose sole place of residence and delivery address at the time of conclusion of the contract is outside the European Union.
4) Prices and terms of payment
4.1 Unless otherwise stated in the seller's product description, the prices quoted are net prices and do not include the statutory value-added tax. If necessary, additional delivery and shipping costs will be stated separately in the respective product description.
4.2 For deliveries to countries outside the European Union, additional costs may be incurred in individual cases for which the seller is not responsible and which are to be borne by the customer. These include, for example, costs for the transfer of money by credit institutions (e.g. transfer fees, exchange rate fees) or import duties or taxes (e.g. customs duties). Such costs may also be incurred in relation to the transfer of money if the delivery is not made to a country outside the European Union but the customer makes the payment from a country outside the European Union.
4.3 The customer has various payment options at his disposal, which are specified in the seller's online shop.
4.4 If prepayment has been agreed, payment is due immediately after conclusion of the contract.
4.5 If the payment method delivery on account is selected, the purchase price is to be paid within 14 (fourteen) days from receipt of the invoice without deduction, unless otherwise agreed. The seller reserves the right to carry out a credit check when selecting the payment method delivery on account and to reject this payment method in the event of a negative credit check.
5) Delivery and shipping conditions
5.1 Unless otherwise agreed, goods shall be delivered by dispatch to the delivery address specified by the customer. The delivery address specified in the seller's order processing is decisive for the processing of the transaction. Deviating from this, if the payment method PayPal is selected, the delivery address deposited by the customer with PayPal at the time of payment shall be decisive.
5.2 In the case of goods delivered by freight forwarder, delivery shall be "free curb", i.e. up to the public curb closest to the delivery address, unless otherwise stated in the shipping information in the seller's online shop and unless otherwise agreed.
5.3 If the carrier returns the shipped goods to the seller, as delivery to the customer was not possible, the customer shall bear the costs of unsuccessful shipment. This does not apply if the customer effectively exercises his right of withdrawal, if he is not responsible for the circumstance that led to the impossibility of delivery or if he was temporarily prevented from accepting the service offered, unless the seller had notified him of the service a reasonable time in advance.
5.4 If the customer acts as entrepreneur, the risk of accidental loss and accidental deterioration of the sold goods shall pass to the customer as soon as the seller has delivered the goods to the freight forwarder, the carrier or any other person or institution designated to carry out the shipment. If the customer acts as a consumer, the risk of accidental loss and accidental deterioration of the sold goods shall only pass to the customer or a person entitled to receive the goods. Deviating from this, the risk of accidental loss and accidental deterioration of the sold goods shall also pass to the customer in the case of consumers as soon as the seller has delivered the goods to the forwarding agent, the carrier or any other person or institution designated to carry out the shipment, if the customer has commissioned the forwarding agent, the carrier or any other person or institution designated to carry out the shipment and the seller has not previously named this person or institution to the customer.
5.5 The seller reserves the right to withdraw from the contract in the event of incorrect or improper self-supply. This only applies in the event that the seller is not responsible for the non-delivery and has concluded a specific hedging transaction with the supplier with due care. The seller will make all reasonable efforts to procure the goods. In the event of non-availability or only partial availability of the goods, the customer will be informed immediately and the consideration reimbursed immediately.
5.6 In the case of self-collection, the seller first informs the customer by e-mail that the goods ordered by him are ready for collection. After receipt of this e-mail, the customer can pick up the goods at the seller's registered office after consultation with the seller. In this case no shipping costs will be charged.
6) Retention of title
6.1 The seller retains title to the delivered goods until full payment of the purchase price owed to consumers.
6.2 The seller retains title to the delivered goods until all claims from an ongoing business relationship have been settled in full.
6.3 If the customer acts as entrepreneur, he is entitled to resell the reserved goods in the ordinary course of business. The customer assigns all resulting claims against third parties to the seller in advance in the amount of the respective invoice value (including value added tax). This assignment applies irrespective of whether the reserved goods have been resold without or after processing. The customer remains authorised to collect the claims even after the assignment. The authority of the seller to collect the claims himself remains unaffected by this. However, the seller will not collect the claims as long as the customer meets his payment obligations to the seller, is not in default of payment and no application for the opening of insolvency proceedings has been filed.
7) Liability for defects
If the object of purchase is defective, the statutory provisions shall apply. Deviating from this, the following shall apply to items which have not been used for a building in accordance with their normal use and have caused its defectiveness:
7.1 For entrepreneurs
an insignificant defect shall in principle not give rise to any claims for defects,
the seller has the choice of the type of subsequent performance,
the limitation period for new goods is one year from the passing of risk.
the rights and claims due to defects are generally excluded for used goods.
the limitation period shall not recommence if a replacement delivery is made within the scope of liability for defects.
7.2 For consumers the limitation period for claims for defects is
for new goods, two years from delivery of the goods to the customer.
for used goods one year from delivery of the goods to the customer, with the restriction of section 7.3.
7.3 There are the possibilities of online arbitration of consumer disputes - ODR Regulation for short - . To this end, we are now providing the link (http://ec.europa.eu/consumers/odr/) to the online platform of the consumer arbitration body set up by the EU.
7.4 For entrepreneurs and consumers, the above limitations of liability and limitation periods in sections 7.1 and 7.2 do not apply to claims for damages and reimbursement of expenses which the purchaser can assert under the statutory provisions due to defects in accordance with section 8.
7.5 In addition, the statutory limitation periods for the right of recourse according to § 478 BGB shall remain unaffected for entrepreneurs. The same applies to entrepreneurs and consumers in the event of intentional breach of duty and fraudulent concealment of a defect.
7.6 If the customer acts as a merchant within the meaning of § 1 of the German Commercial Code (HGB), he shall be subject to the commercial duty to examine and give notice of defects pursuant to § 377 of the German Commercial Code (HGB). If the customer fails to fulfil the notification obligations stipulated therein, the goods shall be deemed to have been approved.
7.7 If the customer acts as a consumer, he is asked to complain to the carrier about delivered goods with obvious transport damage and to inform the seller of this. If the customer does not comply, this has no effect on his statutory or contractual claims for defects.
7.8 If the subsequent performance has taken place by way of a replacement delivery, the customer is obliged to return the first delivered goods to the seller within 30 days at the seller's expense. The defective goods must be returned in accordance with the statutory provisions.
7.9 Sonderanfertigen und Beschaffungsartikel sind vom Umtausch und Stornierung ausgeschlossen.
Der Verkäufer haftet dem Kunden aus allen vertraglichen, vertragsähnlichen und gesetzlichen, auch deliktischen Ansprüchen auf Schadens- und Aufwendungsersatz wie folgt:
8.1 Der Verkäufer haftet aus jedem Rechtsgrund uneingeschränkt
bei Vorsatz oder grober Fahrlässigkeit,
bei fahrlässiger oder vorsätzlicher Verletzung des Lebens, des Körpers oder der Gesundheit,
aufgrund eines Garantieversprechens, soweit diesbezüglich nichts anderes geregelt ist,
aufgrund zwingender Haftung wie etwa nach dem Produkthaftungsgesetz.
8.2 Verletzt der Verkäufer fahrlässig eine wesentliche Vertragspflicht, ist die Haftung auf den vertragstypischen, vorhersehbaren Schaden begrenzt, sofern nicht gemäß Ziffer 8.1 unbeschränkt gehaftet wird. Wesentliche Vertragspflichten sind Pflichten, die der Vertrag dem Verkäufer nach seinem Inhalt zur Erreichung des Vertragszwecks auferlegt, deren Erfüllung die ordnungsgemäße Durchführung des Vertrags überhaupt erst ermöglicht und auf deren Einhaltung der Kunde regelmäßig vertrauen darf.
8.3 Im Übrigen ist eine Haftung des Verkäufers ausgeschlossen.
8.4 Vorstehende Haftungsregelungen gelten auch im Hinblick auf die Haftung des Verkäufers für seine Erfüllungsgehilfen und gesetzlichen Vertreter.
9) Einlösung von Gutscheinen
9.1 Gutscheine, die über den Online-Shop des Verkäufers erworben werden, können nur im Online-Shop des Verkäufers über das dafür vorgesehene Online-Bestellformular eingelöst werden. Eine Einlösung per Telefon, Brief, Fax oder E-Mail ist nicht möglich.
9.2 Gutscheine und Restguthaben von Gutscheinen sind bis zum Ende des dritten Jahres nach dem Jahr des Gutscheinkaufs einlösbar. Restguthaben werden bis zum Ablaufdatum auf dem Gutscheinkonto des Kunden gutgeschrieben.
9.3 Gutscheine können nur für den Kauf von Waren und nicht für den Kauf von weiteren Gutscheinen verwendet werden.
9.4 Reicht der Wert des Gutscheins zur Deckung der Bestellung nicht aus, kann zur Begleichung des Differenzbetrages eine der übrigen vom Verkäufer angebotenen Zahlungsarten gewählt werden.
9.5 Bei einer Bestellung können auch mehrere Gutscheine eingelöst werden.
9.6 Eine Barauszahlung von Gutscheinen oder Gutscheinguthaben ist nicht möglich.
9.7 Der Gutschein ist nur für die Verwendung durch die auf ihm benannte Person bestimmt. Eine Übertragung des Gutscheins auf Dritte ist ausgeschlossen. Der Verkäufer ist berechtigt, jedoch nicht verpflichtet, die materielle Anspruchsberechtigung des jeweiligen Gutscheininhabers zu prüfen.
10) Anwendbares Recht
10.1 Für sämtliche Rechtsbeziehungen der Parteien gilt das Recht der Bundesrepublik Deutschland unter Ausschluss der Gesetze über den internationalen Kauf beweglicher Waren. Bei Verbrauchern gilt diese Rechtswahl nur insoweit, als nicht der gewährte Schutz durch zwingende Bestimmungen des Rechts des Staates, in dem der Verbraucher seinen gewöhnlichen Aufenthalt hat, entzogen wird.
10.2 Ferner gilt diese Rechtswahl im Hinblick auf das gesetzliche Widerrufsrecht nicht bei Verbrauchern, die zum Zeitpunkt des Vertragsschlusses keinem Mitgliedstaat der Europäischen Union angehören und deren alleiniger Wohnsitz und Lieferadresse zum Zeitpunkt des Vertragsschlusses außerhalb der Europäischen Union liegen.
Handelt der Kunde als Kaufmann, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen mit Sitz im Hoheitsgebiet der Bundesrepublik Deutschland, ist ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag der Geschäftssitz des Verkäufers. Hat der Kunde seinen Sitz außerhalb des Hoheitsgebiets der Bundesrepublik Deutschland, so ist der Geschäftssitz des Verkäufers ausschließlicher Gerichtsstand für alle Streitigkeiten aus diesem Vertrag, wenn der Vertrag oder Ansprüche aus dem Vertrag der beruflichen oder gewerblichen Tätigkeit des Kunden zugerechnet werden können. Der Verkäufer ist in den vorstehenden Fällen jedoch in jedem Fall berechtigt, das Gericht am Sitz des Kunden anzurufen.
